APVV-0809-12 Modernization of Company Law within the Recodification of Private Law, 10/2013 - 09/2017, principal investigator


The proposed research reflects five fundamental influences on company law:

  1. Regulatory competition,
  2. Modernization of company law in various EU member states, and in the USA and on EU level,
  3. The influence of legal doctrine upon the creation of law and its application (including the revival of continental concepts of company law),
  4. Rising importance of open terms/textures, general clauses and principles/standards compared to classical norms and the imperative towards a multi-criteria decision making (floating system) and strengthening of the role of private autonomy and on
  5. Shortcomings of the Slovak legal regulation and its application.

The proposed research team consisting of representatives of Slovak, Czech and German legal science suggests performing a comparative research that would in successive steps cover the identified recent tendencies in the development of company law (its doctrine and practice) and offer impetus for the modernization of company law in Slovakia. The principal researcher is also the head of the working group appoinetd to elaborate the draft of the Act on Corporations and the proposed research team is, to a certain part, consisting of members of the working group. One of the aims of the proposed research is the involvement of Slovak legal science into the EU-wide discourse on the proposed modernization of company law (Action plan 2012).

VEGA 1/0566/19 - Status and execution of competences of corporate body members, 01/19-12/2021, deputy project manager


The project focuses on the examination of legal consequences concerning execution of competences of corporate body members and theoretical and application problems regarding relations between body members and company itself. Among the conceptual questions solved the project also includes the question of the required standard in execution of competences of corporate body member and its relation to the other duties. Examined application issues also extend to law of corporate groups when examining the duties of the corporate body members of controlled and controlling persons. The research will be focused on 4 main areas: legal assumptions of execution of competences of corporate body members, remuneration, way of execution of competences and liability of members of the bodies for the damage caused in the execution of their duties and the liability to the creditors. The project responds to the current legislative changes in corporate law (2015-2018) which have extended the duties of the corporate body member.

APVV-19-0424 - Innovative corporation: intra-corporate trasformations, digital challenges and the rise of artificial intelligence, 07/2020-06/2024, principal investigator


Currently, the EU's primary objective is to create a single internal market that will be open to entrepreneurs in each Member State and will not create any barriers to their establishment in the EU. This strategy also includes the creation of a single digital market. It is therefore necessary that corporations planning to go hand in hand with current trends are modernized so as not to fall behind other competitors in a competitive battle. Transformation and modernization of companies must be carried out following the pattern of current legal norms, with emphasis on the corporate relations, as well as the pattern of rapidly evolving technological innovations and information technologies. The subject of the interest of researchers is to set up the property relations within the corporations through individual corporate forms and the choice between own and foreign sources of financing, both in terms of national and European measures. Given the gradual importance of modern information and communication technologies, digital corporate transformation is essential to ensure their competitive position at world level. The research team will also focus on cyber security issues that are imminent with the digitalizaion ot the business enviroment. The main aim of the proposed project is to propose changes of legislation in the field of corporate law in accordance with the conditions for the competitive and innovative business environment in the era of digitalization and artificial intelligence, and to formulate recommendations and directives for the implementing subject as regards the effective existence of companies in the current innovative environment. The Slovak Chamber of Commerce and Industry, as an independent representative of the market economy, is a suitable entity to provide input to project solving as well as subsequent implementation and dissemination of project outputs
